A common Board situation

Future Start Learning Community* is an independent school with campuses in the ACT and NSW. It is a:

  • registered school in the ACT and NSW,

  • company limited by guarantee (required for school registration)

  • registered charity, with a deductible gift scholarship fund

  • regulated Work Health and Safety entity


The Board comprises seven Directors, all volunteers. The school’s governance arrangements have not been reviewed for several years. The Board members are unsure what legal obligations they carry.

Personal risk and obligations

Despite their goodwill, because governance instruments are out of date, the Directors are making decisions without clear delegations and with limited visibility of their personal legal duties, risking personal penalties including fines and criminal conviction.

The scope is broad, including:

These laws impose duties directly on each Board member - separate to the 100+ laws that apply the school itself.

Outcome

The Board commissions a governance review to clarify Board risk exposure, to modernise governing instruments, and to align their educational objectives with legal obligations.

The review clarified Director due diligence obligations, modernised governance instruments, and updated foundational and operational documents and processes.

Directors report increased confidence, faster decision-making, better compliance assurance, and reduced personal risk exposure.
